作者简介

彭萍，北京外国语大学英语学院副院长，在英汉互译、商务英语等方面深有研究，有多部专著、教材和译作出版。本书还有四位副主编和多位编委，他们全部是全国各地的高校的一线英语教师，多教授商务英语课程，对商务英语翻译有较多研究。

一、用词特点及其翻译 （一）古体词 公司章程属于法律文本的一种，古体词可以使法律文本更加简练、庄重，凸显法律文本独特的文体特色。法律英语中常使用一些古体词使法律文献更加正式。这些古体词主要由here、there 和where 加上after、by、in、on、of、under 和to 等词构成，如hereafter（此后）、herefrom（由此）、hereunder（在……下面）、herein（此文件中，此中）、hereof（本文中）、hereto（自此）、hereby（特此）、hereinafter（下文中）、thereby（因此）、therein（其中）、thereof（在……中）、whereof（关于）、whereto（对于……）等，这类词常出现在法律条文中，在其他英语文体中很少使用。请看下面的例子： ？ 例1： Be it known that we, the subscribers, do hereby associate ourselves as a body politic and corporate pursuant to the statute laws of the State of Connecticut regulating the formation and organization of corporations without capital stock and the following are our Articles of Association. 众所周知，我们根据康涅狄格州的成文法将自己视为一个实体和公司，这些成文法规定了无股本公司的组建和结构，以下是我公司章程。 ？ 例2： Statutory provisions are applicable for granting the power of representation, its revocation and the verification thereof vis-à-vis the Company. 法定条款适用于公司授予和撤销代表权以及相关的核查工作。 （二）专业术语 公司章程中常使用法律专业术语，避免一词多义，有助于准确表达公司股 东的权利与义务等信息。请看下面的例子： ？ 例3： Intermediated securities based on registered shares of Nestlé cannot be transferred by way of assignment. 基于雀巢公司注册股份的中介证券不得以分配方式转让。 ？ 例4： During the intervals between meetings of the Board of Directors, the affairs of the Corporation shall be administered by an Executive Committee consisting of the President, five Directors selected by the Board of Directors, and, without vote, the First Vice President and Chief Executive Officer. 非董事会会议期间，公司事务由执行委员会管理，执行委员会由总裁、董事会选出的五名董事、第一副总裁和首席执行官组成，后两者无须投票选出。 不难看出，上述例子中的斜体部分intermediated securities（中介证券）、the Board of Directors（董事会）、an Executive Committee（执行委员会）、the First Vice President（第一副总裁）和Chief Executive Officer（首席执行官）均属于专业术语，它们在汉语中都有对应的表达法。翻译的时候不可随意，不懂的术语须查证。 　 全国商务英语翻译考试.教材和通关宝典 本书是全国商务外语考试办公室组织编写的一本商务英语翻译考试教材，为全国商务英语翻译考试（BETT）官方.辅导用书。本教材主要有以下几个特点：理论与实践相结合；精讲多练，英汉双向；取材范围广，与时俱进；内容丰富，循序渐进。
